Will this memory work with this CPU:

    I have 2 1 gig sticks of G-skill 533 (PC 4200) DDR2 Ram in my computer right now.

    I have a shitty Pentium D that runs at 533 FSB.

    I want to upgrade to an: Intel Core 2 Duo E6750 Conroe 2.66GHz 4M shared L2 Cache LGA 775
    It has a 1333 FSB.

    Do I HAVE to buy new memory or not?

    The biggest problem is that the cpu might not work on the older motherboard.

    You'll need to look into that first.

    Pick your CPU.
    Pick a motherboard specific for that CPU.
    Pick memory specific for that motherboard.

    The motherboard that I have is not a problem.
    I have been to the website and it lists this CPU as a CPU that will work with the motherboard.

    Will the CPU work with my Memory?

    It depends on the motherboard. And you might be surprised to find out that even a motherboard that works with C2D, might have earlier revisions that didn't. Like the Intel 945 chipset boards.
    A short answer that may tell you something is that most of the C2D boards require 667 memory or better.
