Ok as of right now I have a 2k Active Directory Domain.

3 domain controllers 5 member servers(one DC in main office, one each in 2 remote offices).

My exchange server sits in my main office & runs AD, but holds no FSMO roles.

Am I going to have3 any problems if I upgrade my 3 DCs to 2003 & leave my Exchange server running Exchange 2k & Win2k?

Note all 2k servers are running sp4

No. WIN2K3 is backwards compatible. As long as you are maintaining AD on your WIN2K3 network, you'll run fine.
